Terms and Conditions of Sale

1. Introduction

These Terms and Conditions of Sale ("CGV") govern the sale of digital musical content on the Beatshub platform ("Platform") between sellers ("Sellers") and buyers ("Buyers"). By making a purchase on the Platform, Buyers acknowledge and agree to these CGV.

Beatshub acts as an intermediary facilitating transactions between Sellers and Buyers. These CGV define the rights and obligations of each party in the context of sales made through the Platform.

2. Products and Services

The Platform allows Sellers to offer various digital musical products including, but not limited to:

• Beats and instrumentals
• Drum kits and sound packs
• Vocal samples
• Other digital musical content

The Platform offers only digital products; no physical products are sold or shipped.

3. Licenses and Usage Rights

Products purchased on the Platform are subject to licensing terms defined by Sellers. These licenses specify how Buyers may use the purchased content. Common license types include:

• Non-Exclusive Licenses: Allow multiple Buyers to purchase and use the same content.
• Exclusive Licenses: Typically grant a Buyer unique rights to a piece of content, which is subsequently removed from sale.
• Custom Licenses: May include specific usage terms negotiated between Seller and Buyer.

Important Disclaimer: Beatshub is not responsible for enforcing license agreements between Sellers and Buyers. If a Buyer purchases an exclusive license and subsequently redistributes or resells the content in violation of the license terms, this is a matter solely between the Seller and Buyer. Beatshub does not monitor or enforce the usage of content after purchase and bears no liability for misuse of licensed content by Buyers.

Sellers must clearly communicate license terms for each product. Buyers are responsible for understanding and adhering to these terms.

4. Pricing and Payments

All prices on the Platform are displayed in the currency selected by the Seller and include applicable taxes where required by law.

Payment processing is handled securely through Stripe. Beatshub does not store credit card information.

Upon successful payment, Buyers receive:

• Immediate access to purchased digital content

Sellers receive payment for their sales according to our payout schedule, minus applicable platform fees and payment processing fees.

5. Refunds and Returns

Due to the digital nature of products sold on the Platform, all sales are generally final. However, refunds may be issued in the following circumstances:

• The digital content is corrupt or inaccessible due to technical issues on our part
• The product significantly misrepresents what was advertised
• Duplicate purchases were made in error

Refund requests must be submitted within 3 days of purchase through our support system. Each request will be evaluated on a case-by-case basis.

Refunds will not be issued for:

• Buyer's remorse or change of mind
• Compatibility issues with Buyer's software, if compatibility requirements were clearly stated
• Claims that the Buyer did not understand the license terms, if these were clearly presented at the time of purchase

6. Seller Obligations

When selling content on the Platform, Sellers represent and warrant that:

• They have all necessary rights to sell the content and grant the licenses offered
• Their content does not infringe on the intellectual property rights of any third party
• The description and preview of the content accurately represent the product being sold
• They will fulfill obligations specified in their license agreements with Buyers
• They have clearly specified the terms of use for their products

Sellers are responsible for handling customer inquiries related to their products and for resolving disputes with Buyers regarding the use of sold content.

7. Buyer Obligations

When purchasing content on the Platform, Buyers agree to:

• Pay the specified price for the product
• Use the purchased content only in accordance with the license terms
• Not redistribute, resell, or share the purchased content unless explicitly permitted by the license
• Not claim ownership of the original content

Buyers are responsible for ensuring they understand the license terms before making a purchase. If uncertain, Buyers should contact the Seller for clarification.

8. Liability Limitations

Beatshub serves solely as a platform connecting Sellers and Buyers and facilitating transactions between them. As such:

• We do not guarantee the quality, originality, or suitability of content sold on the Platform
• We are not responsible for disputes between Sellers and Buyers regarding content usage, license violations, or intellectual property issues
• We do not monitor how Buyers use purchased content and cannot enforce license agreements
• We are not liable for any loss or damage resulting from transactions conducted through our Platform

Exclusive License Disclaimer: If a Buyer purchases content with an exclusive license and subsequently violates the terms by redistributing or reselling the content, Beatshub bears no responsibility or liability. Such disputes must be resolved directly between the Seller and Buyer without Beatshub's involvement.

9. Applicable Law and Disputes

These CGV are governed by the laws of France, without regard to its conflict of law provisions.

Any dispute arising from or relating to these CGV shall be subject to the exclusive jurisdiction of the courts located in France.

Before initiating any legal proceedings, parties agree to attempt to resolve any disputes through our Platform's dispute resolution process.

10. Modifications to the CGV

Beatshub reserves the right to modify these CGV at any time. Modifications will take effect immediately upon posting on the Platform.

Buyers will be subject to the CGV in force at the time of purchase. Past purchases will remain governed by the CGV in effect when the purchase was made.
